END USER LICENSE AGREEMENT

This End User License Agreement (this "Agreement") is a binding legal contract between you ("User," "You," or "Your") and Zuke Technologies, LLC, an Alabama limited liability company with its principal place of business at PO Box 1174, Robertsdale, AL 36567 ("Zuke Technologies," "We," "Us," or "Our").

By provisioning a Virtual Phone Number, accessing, or using the Qwikfolio SaaS platform (the "Service"), You agree to be bound by this Agreement. If You do not agree to all terms, do not use the Service.

1. Scope of Service and License

Qwikfolio provides a SaaS platform for generating private Virtual Phone Numbers to collect photos and media via inbound text message. Subject to Your compliance with this Agreement and payment of Fees, We grant You a limited, non-exclusive, revocable license to use the Service for Your internal business or personal purposes. Each Virtual Phone Number constitutes a separate annual subscription.

2. Messaging and Carrier Compliance

Even though the Service is designed for inbound media collection, You acknowledge that Virtual Phone Numbers are subject to telecommunications regulations and 10-Digit Long Code (10DLC) carrier requirements.

• User Responsibility: You are the "Recipient" of record. You warrant that You have provided notice to and obtained all necessary consents from third parties (e.g., event guests) before they send Content to your Virtual Phone Number.

• Carrier Filtering: We are not liable if a mobile carrier filters or blocks inbound messages to Your Virtual Phone Number due to suspected spam or violation of "SHAFT" (Sexually Explicit, Hate, Alcohol, Firearms, Tobacco) policies.

3. DMCA Copyright Policy & User Content

3.1 Ownership

You retain ownership of Your User Content. You grant Us a worldwide, royalty-free license to host, process, and display User Content solely to provide the Service, such as creating branded galleries and slideshows.

3.2 DMCA Safe Harbor (Notice and Takedown)

We respect intellectual property rights and follow the Digital Millennium Copyright Act (DMCA). If Content on the Service infringes a copyright, please contact our DMCA Agent:

• Action: Upon receipt of a valid notice, We will promptly remove the infringing material and may terminate repeat infringers.

4. AI Moderation and Data Privacy

4.1 AI Content Moderation

The Service uses Artificial Intelligence (AI) to automatically detect and flag inappropriate imagery and offensive text.

• No Guarantee: AI moderation is a convenience tool. You are the final gatekeeper of Your Content. We are not liable for the AI’s failure to catch offensive material or for "false positives" that flag benign material.

• Manual Review: Admins retain manual control to review, block senders, or mark items as safe.
  

4.2 Biometric Data & Privacy

The Service does not collect, store, or process biometric identifiers (e.g., faceprints). While the AI categorizes objects and detects labels, it does not uniquely identify natural persons based on biological characteristics. You are prohibited from using the Service to attempt to identify individuals through biometric analysis.

5. Fees, Billing, and Chargebacks

• Annual Fee: $1,200 per Virtual Phone Number per year, billed via Stripe.

• No Refunds: Fees are non-refundable.

• Chargebacks: If You initiate a chargeback for a Service already rendered, We reserve the right to recover the funds plus an administrative fee of $100 and any associated legal costs.

6. Intellectual Property

• Ownership: Zuke Technologies owns all rights to the Service, the "Qwikfolio" name, and the "Rabbit" logo.

• Fonts: The Service utilizes open-source Google Web Fonts.

• Restrictions: You may not reverse-engineer the Service or circumvent its security or moderation features.
  

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ALABAMA LAW, ZUKE TECHNOLOGIES’ TOTAL AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR FAILURE OF AI MODERATION, CARRIER-LEVEL BLOCKING, OR ILLEGAL CONTENT SENT BY THIRD PARTIES.

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Alabama.

• Venue: Any dispute shall be resolved exclusively in the state or federal courts located in Baldwin County, Alabama.

• Waiver: You waive Your right to a jury trial or to participate in a class-action lawsuit.
